I'm removing and reinstalling the rear package tray on my '68 Chevelle and I don't want to screw anything up. So, I would like to know if the side panels and the padding panels between the tray and headliner need to be removed??? ........ and if so, how are they removed....... Thanks.

I replaced mine about a year ago. I just trimmed the outer parts, and bent the tray a bit to be able to tuck it in under the sail panels. Only thing I had to remove was the back seat. If I remember correctly, I cut it about an inch out from the lines where it folds. Had to cut twice before it fit right, but it worked out great. It's not the right way to do it, but you can't tell the difference once it's installed.
BTW, I used the "mesh style" tray (with speaker holes) from Year One. The mesh started to come loose and bubble after a couple of hours in the sun. I'll probably replace it with a plain tray pretty soon.
